Organization/Structure

General meeting
  • Structure: Organized by the regular members. General Meetings are held both regularly and extraordinarily.
  • Authorities: Resolving the following matters related to the operation of the organization.
  • (1)The amount for its membership fees and initiation fee.
  • (2)Expulsion of membership.
  • (3)Selection and dismissal of board members,
  • (4)Regulations on board members’ expenses including their remuneration.
  • (5)Statement of accounts for each fiscal year.
  • (6)Revision in the articles of incorporation.
  • (7)Approval of dissolution of the organization and disposition of its remaining asset.
  • (8)Matters submitted by the board of directors.
  • (9)Other matters stipulated in the laws regarding general incorporated associations and general foundations, and/or the articles of incorporation.
  • Membership status:
(1)Regular member: Individuals, corporations or associations that joined the organization to keep up the objectives of TRMP.
(2)Supporting member: Individuals, corporations or associations that joined TRMP to support its activities.
Board of Directors
  • Structure: Consists of all the directors. Board Meetings are held both regularly and extraordinarily.
  • Authorities: Execution of the following duties aside from those stipulated in the articles of incorporation:
  • (1)Decisions regarding the execution of business at TRMP.
  • (2)Supervision over the execution of duties by the directors.
  • (3)Selection and dismissal of the Representative Director and/or Deputy Representative Director(s).
  • (4)Setting up the date, place and the agenda for the General Meetings.

Directors:

  • Quota: Minimum of 3 and maximum of 10 directors. (among the directors, one shall serve as the Representative and one or two shall serve as a Deputy Representative).
  • Selection: The directors shall be selected by the General Meeting.
  • Duties: Organize the Board of Directors to execute the activities of TRMP in accordance to the laws and the articles of incorporation.
Auditors
  • Quota: Maximum of 2 auditors.
  • Selection: The auditors shall be selected by the General Meeting
  • Duties:
  • (1)Audit the accounts,
  • (2)Audit the execution of duties by the directors.
  • (3)Report to the general meeting when any injustice regarding the account and/or the execution of duties should be discovered.
Council
  • The Council shall be set up in order to secure the public and non-profit nature of TRMP as an organization which issues and controls licenses.
  • The Board of Directors shall consult with the Council when it makes the following decisions and/or resolutions:
  • (1) Matters required for TRMP to secure its public and non-profit nature
      as an organization which issues and controls licenses.
  • (2)Matters related to investigations, preventative measures and punishments when any material non-compliance should be discovered.
  • (3)Matters related to judgments and decisions on any claim against license
      contracts.
  • (4)Any other matter necessary for the Council to accomplish its objectives.
      The Council shall discuss the matters consulted by the Representative
      Director and report the conclusion of its discussion to the Representative
      Director.
Committees

The Steering Committee:

  • The Steering Committee shall be set up to achieve effective operation of the organization.
  • The Technical Committee and the Operations Committee shall be set up under the Steering Committee.
